第2篇 公司股權(quán)出售轉(zhuǎn)讓協(xié)議書(shū)（中英文對(duì)照）

本股權(quán)轉(zhuǎn)讓協(xié)議(以下稱(chēng)本協(xié)議) 由以下各方于2023年 月 日在北京簽署：

甲乙雙方現(xiàn)根據(jù)《中華人民共和國(guó)合同法》以及相關(guān)法律法規(guī)的規(guī)定，本著平等互利、友好協(xié)商的原則，達(dá)成如下協(xié)議,以茲共同遵守：

第一條 轉(zhuǎn)讓條件和價(jià)款支付

1.4 各方承認(rèn)并同意此轉(zhuǎn)讓價(jià)格為受讓方在本協(xié)議項(xiàng)下應(yīng)向轉(zhuǎn)讓方支付的唯一價(jià)格，受讓方及其任何關(guān)聯(lián)企業(yè)就本股權(quán)轉(zhuǎn)讓不承擔(dān)任何將來(lái)的或額外的支付義務(wù)。

1.5 價(jià)款支付 1.5 the price payment

a. 受讓方應(yīng)于本協(xié)議簽字生效之日起 日內(nèi)向轉(zhuǎn)讓方支付上述轉(zhuǎn)讓價(jià)格的30%;

b. 受讓方應(yīng)于本協(xié)議項(xiàng)下股權(quán)轉(zhuǎn)讓經(jīng)有關(guān)審批機(jī)關(guān)批準(zhǔn)后 日內(nèi)向轉(zhuǎn)讓方支付上述轉(zhuǎn)讓價(jià)格的30%; b. another thirty percent of the purchase price shall be paid off if the approving authority approved the agreement;

2.1 先決條件. conditions precedent.

a. 鑒于本協(xié)議涉及到外商投資企業(yè)并購(gòu)境內(nèi)企業(yè)的法律監(jiān)管問(wèn)題，為保證本協(xié)議簽訂后能夠順利履行，本協(xié)議項(xiàng)下股權(quán)轉(zhuǎn)讓以下列條件的完成或出現(xiàn)為先決條件：

第三條 陳述和保證article 3 representations and warranties

3.1 轉(zhuǎn)讓方的承諾和保證representations and warranties of transferors.

a. 轉(zhuǎn)讓方合法擁有本協(xié)議項(xiàng)下欲轉(zhuǎn)讓的股權(quán),且保證其將在本協(xié)議簽訂后積極配合受讓方辦理股權(quán)轉(zhuǎn)讓的審批及登記手續(xù);

transferor have full and unencumbered title to the transferred equity interest, which shall be free and clean of any mortgage, pledge or any other types of encumbrances.

c. 其沒(méi)有與本協(xié)議內(nèi)容相關(guān)的或影響其簽署或履行本協(xié)議的任何未決的或就其所知而言可能發(fā)生的訴訟、仲裁、法律的或行政的或其它的程序或政府調(diào)查;

d. 在本協(xié)議簽訂前,甲方已盡到向其他股東通知該轉(zhuǎn)讓事宜的義務(wù),且任何其他股東同意或已放棄對(duì)本協(xié)議項(xiàng)下擬轉(zhuǎn)讓股權(quán)的優(yōu)先購(gòu)買(mǎi)權(quán);

3.2 受讓方的承諾和保證 representations and warranties of transferee.

b. 乙方擁有足夠的資產(chǎn)支付甲方的股權(quán)轉(zhuǎn)讓款,且對(duì)于本協(xié)議項(xiàng)下的股權(quán)轉(zhuǎn)讓行為已取得公司權(quán)利機(jī)關(guān)及相關(guān)表決機(jī)構(gòu)的表決同意;

第四條 協(xié)議完成日 closing

4.1 完成日. closing date.

依據(jù)本協(xié)議條款，股權(quán)轉(zhuǎn)讓的完成日應(yīng)為審批機(jī)關(guān)批準(zhǔn)該股權(quán)轉(zhuǎn)讓并在登記管理機(jī)關(guān)完成變更登記的日期。upon the terms and subject to the conditions of this agreement, the closing of the equity interest transfer (the closing) shall take place on the date when the e_amination and approval authority approves the equity interest transfer and the registration procedure has been fulfilled in the bureau of industrial and commerce.

第五條 違約及補(bǔ)救措施default and remedy

5.1 各方應(yīng)嚴(yán)格履行其本協(xié)議項(xiàng)下各自應(yīng)承擔(dān)的合同義務(wù)。若任何一方未按照規(guī)定履行或未充分、適當(dāng)履行其本協(xié)議項(xiàng)下的義務(wù)，或其在本協(xié)議項(xiàng)下所作出的陳述和保證被證實(shí)為虛偽的、不正確的或具有誤導(dǎo)性的，該方應(yīng)被視為違約(以下稱(chēng)違約方)。若發(fā)生違約，其他方(以下稱(chēng)守約方)有權(quán)依其獨(dú)立判斷采取以下一種或多種措施進(jìn)行補(bǔ)救：

5.1 the parties shall strictly fulfill their respective obligations under this agreement. any party (for the purpose of this clause the breaching party) will be deemed to have breached this agreement if it fails to fulfill, or to fulfill fully and appropriately, its obligations under this agreement, or if any of its representations and warranties in this agreement proves to be false, inaccurate or misleading. in the event of such breach, the other parties (for the purpose of this clause the non-breaching party) has the right at their own discretion to take one or more of the following actions for remedy:

a. 中止履行其本協(xié)議項(xiàng)下的合同義務(wù)直至違約方就其違約行為進(jìn)行補(bǔ)救;

to suspend performance of its obligations under this agreement until the breach is remedied by the breaching party;

b. 若因違約方違約致使本協(xié)議項(xiàng)下股權(quán)轉(zhuǎn)讓無(wú)法完成，或?qū)嵸|(zhì)上破壞了守約方簽署本協(xié)議的商業(yè)目的，且此等破壞是不可補(bǔ)救的，或即使可以補(bǔ)救但違約方并未在合理期間內(nèi)進(jìn)行補(bǔ)救，則守約方有權(quán)書(shū)面通知違約方單方終止本協(xié)議，該書(shū)面通知自發(fā)出之日起生效;

if the breach by the breaching party has caused the equity interest transfer to be unable to complete, or has materially frustrated the non-breaching partys commercial purpose in entering into this agreement and such frustration is irreparable, or if reparable but it has not been rectified by the breaching party within a reasonable period of time, then the non-breaching party has the right to unilaterally terminate this agreement forthwith by issuing to the breaching party written notice that should become effective on the date of its issuance;

c. 要求違約方所有損失進(jìn)行賠償(包括守約方所受到的直接經(jīng)濟(jì)損失以及因本協(xié)議而發(fā)生的各項(xiàng)成本和支出)。

to demand compensation from the breaching party for all losses, including the costs and e_penses arising from this agreement.

5.2 本協(xié)議規(guī)定的權(quán)利及救濟(jì)措施應(yīng)視為累積的，且作為并不影響依據(jù)法律所享有的其他權(quán)利和補(bǔ)救措施。the rights and remedies provided in this agreement shall be cumulative and shall be in addition to and without prejudice to other rights and remedies provided by law.

5.3 若本協(xié)議或本協(xié)議的其他條款無(wú)效或由于任何原因而終止，本條款規(guī)定的守約方的權(quán)利及補(bǔ)救措施繼續(xù)有效。

第六條 適用法律applicable law

第七條 爭(zhēng)議解決settlement of disputes

7.1 協(xié)商consultations.

因本協(xié)議發(fā)生并與本協(xié)議履行或解釋有關(guān)的爭(zhēng)議應(yīng)首先由各方進(jìn)行友好協(xié)商。

if no mutually acceptable settlement of such dispute is reached within si_ty (60) days, then such dispute shall be finally and e_clusively settled by arbitration as provided herein. arbitration shall be conducted in accordance with the arbitration rules of the china international economic and trade arbitration commission being in force at the time a particular dispute is submitted for arbitration, which rules are deemed to be incorporated by reference into this article. the arbitration shall take place in beijing.

第八條 生效及修訂effectiveness and amendment

8.1 生效日effective date.

除本合同規(guī)定外，律師無(wú)權(quán)從客戶(hù)處得到任何其他與本合同相關(guān)的法律服務(wù)補(bǔ)償。

it is agreed between the parties hereto that attorney shall have a lien for payment of his fee on all monies or property obtained, received or recovered by compromise, settlement, judgment or any other means whatsoever.

雙方當(dāng)事人在此同意，為獲得其費(fèi)用，律師對(duì)所有經(jīng)和解、調(diào)解、判決或其他任何方式所獲得的賠償款額或財(cái)產(chǎn)具有留置權(quán)。

in the event legal action is required to enforce any provision of this agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

如為執(zhí)行本合同而提起訴訟，勝訴方有權(quán)獲得合理的律師費(fèi)和訴訟費(fèi)。
